These Terms & Conditions (“Terms”) govern your access to and use of the Centurion Lab Supply website, products, services, and related features.

Centurion Lab Supply (“Centurion,” “we,” “us,” or “our”) is operated by Evolution Collaborative LLC.

By accessing our website, creating an account, requesting a quote, placing an order, or otherwise using our services, you agree to these Terms. If you do not agree to these Terms, you should not use our website or purchase products from us.

‍1. Eligibility and Authorized Use

‍You must be legally capable of entering into a binding agreement to place an order through Centurion Lab Supply.
If you purchase products on behalf of a business, laboratory, medical practice, educational institution, government organization, or other entity, you represent that you have authority to act on behalf of that organization.
Certain products may be subject to additional purchasing, licensing, professional-use, regulatory, shipping, or other restrictions. We reserve the right to request information reasonably necessary to determine eligibility to purchase a product.

‍2. Products and Intended Use

‍Centurion Lab Supply supplies laboratory, medical, scientific, research, healthcare, and related products.
Products must be used only for lawful and appropriate purposes and in accordance with applicable manufacturer instructions, labeling, specifications, warnings, and laws.
The availability of a product through Centurion Lab Supply does not, by itself, represent that the product has been approved, cleared, authorized, or certified by the U.S. Food and Drug Administration (“FDA”) or any other regulatory authority for a particular clinical, diagnostic, therapeutic, pharmaceutical, human, veterinary, or other regulated use.
Customers are responsible for determining whether a product is appropriate and legally permitted for their intended application.
Where a product is labeled or represented by its manufacturer as being intended only for research, laboratory, industrial, or other restricted purposes, the customer agrees to comply with those restrictions.
Centurion Lab Supply does not authorize customers to disregard manufacturer labeling or use restrictions.

‍3. Product Information

‍We make reasonable efforts to provide accurate product descriptions, specifications, photographs, dimensions, availability information, and other content.
However, manufacturers may change product specifications, packaging, labeling, materials, designs, or availability without notice.
Product images may be representative and may not exactly reflect the product received.
Customers should review applicable manufacturer documentation when product specifications are material to their intended use.
If you require a specific manufacturer, material, lot characteristic, packaging configuration, sterility specification, regulatory status, or other technical characteristic, please confirm those requirements with us before placing an order.

‍4. Sterile Products
‍
‍Products described as sterile are supplied based on the applicable manufacturer’s specifications, labeling, and documentation.
Unless expressly stated otherwise, Centurion Lab Supply does not independently manufacture, sterilize, test, certify, or validate third-party products.
Customers are responsible for inspecting packaging and determining whether a product remains suitable for their intended use before opening or using it.
Do not use a sterile product if its packaging is damaged, opened, compromised, expired, or otherwise indicates that sterility may have been affected.

‍5. Orders
‍
‍Submitting an order does not necessarily mean that we have accepted the order.
We reserve the right to accept, decline, limit, hold, or cancel an order where reasonably necessary, including because of:
• Product availability
• Pricing or listing errors
• Suspected fraud
• Payment problems
• Shipping restrictions
• Regulatory restrictions
• Product purchasing requirements
• Manufacturer or distributor restrictions
• Unusual order quantities
• Suspected resale or export restrictions
• Errors in product information

If we cancel an order after payment has been collected, we will generally issue a refund for the canceled portion using the original payment method, subject to applicable law and payment-provider requirements.

‍6. Pricing

‍Prices are displayed in U.S. dollars unless otherwise stated.
We may change prices at any time before an order is accepted.
Despite our efforts, pricing or product-information errors may occur. If a product is listed at an incorrect price, we may cancel the affected order or contact you before fulfilling it.
Applicable taxes, shipping charges, handling charges, expedited-delivery fees, or other charges may be added to the purchase price where appropriate.

‍7. Payment

‍Payment must be made using a payment method accepted by Centurion Lab Supply.
Payments may be processed through third-party payment processors. Your use of a particular payment method may also be subject to the payment provider’s terms.
You represent that you are authorized to use the payment method provided.
We may delay fulfillment while payment is being verified or if a transaction is identified for additional fraud or security review.

‍8. Taxes

‍Customers are responsible for applicable sales, use, excise, or similar taxes unless a valid exemption applies.
Customers claiming tax-exempt or resale status may be required to provide appropriate documentation before an exemption can be applied.
Providing false, expired, or invalid resale or exemption documentation may result in cancellation of an exemption or order.

‍9. Shipping and Delivery

‍Shipping dates and delivery estimates are estimates unless we expressly agree otherwise in writing.
Delivery may be affected by circumstances outside our control, including carrier delays, weather, supply-chain disruptions, manufacturer delays, incorrect addresses, or other events.
Customers are responsible for providing a complete and accurate shipping address.

‍10. Inspection of Shipments

‍Customers should inspect shipments promptly after delivery.
If products arrive damaged, incorrect, incomplete, or with visibly compromised packaging, contact Centurion Lab Supply as soon as reasonably possible and retain the original product, packaging, shipping materials, and documentation.
We may request photographs, lot information, shipping labels, packaging information, or other documentation necessary to evaluate a claim.
Do not use a product that appears damaged, contaminated, compromised, or otherwise unsuitable for its intended use.

‍11. Returns and Refunds

‍Returns and refunds are governed by our Return & Refund Policy, which is incorporated into these terms by reference.
Certain products may be non-returnable because of sterility, contamination risk, temperature requirements, manufacturer restrictions, special-order status, custom configuration, regulatory requirements, or other health and safety considerations.
Customers should review the applicable return policy before opening product packaging.
Nothing in these terms limits any rights that cannot lawfully be waived under applicable law.

‍12. Cancellations

‍Orders may be canceled before processing or shipment where permitted.
Once an order has entered fulfillment, been shipped, been specially ordered, or been procured specifically for the customer, cancellation may not be available.
Contact Centurion Lab Supply promptly if you need to request cancellation.

‍13. Business and Resale Customers

‍Products purchased for resale remain subject to applicable manufacturer restrictions, intellectual-property rights, distribution restrictions, regulatory requirements, and applicable law.
Purchasing a product from Centurion Lab Supply does not automatically grant the purchaser authorization to represent itself as an authorized distributor, dealer, representative, partner, or agent of Centurion Lab Supply or any manufacturer.
Customers may not alter, remove, obscure, or misrepresent manufacturer labels, expiration dates, lot numbers, serial numbers, regulatory markings, warnings, or other product information.

‍14. Prohibited Uses

‍You may not use our website, products, or services to:
• Violate applicable laws or regulations
• Commit fraud or misrepresentation
• Purchase products using unauthorized payment information
• Circumvent purchasing or regulatory restrictions
• Interfere with website security or operation
• Introduce malicious software or code
• Scrape or systematically extract website content without authorization
• Impersonate another person or organization
• Misrepresent your relationship with Centurion Lab Supply or a manufacturer
• Remove or falsify product labeling, lot information, expiration information, or regulatory information
• Use products in a manner prohibited by applicable law or manufacturer restrictions
• We may suspend or terminate access or cancel orders where we reasonably believe these terms have been violated.

‍15. Accounts

‍If you create an account, you are responsible for maintaining the confidentiality of your login credentials and for activity conducted through your account.
You agree to provide accurate information and keep your account information reasonably current.
Contact us promptly if you believe your account has been compromised.

‍16. Intellectual Property

‍The Centurion Lab Supply website and Centurion-created content, including text, graphics, branding, logos, layouts, and other materials, are owned by or licensed to Centurion Lab Supply or Evolution Collaborative LLC and are protected by applicable intellectual-property laws.
Manufacturer names, product names, trademarks, logos, photographs, and other intellectual property belong to their respective owners.
Reference to a manufacturer or product does not necessarily imply sponsorship, endorsement, partnership, or authorized-distributor status.
You may not reproduce, distribute, modify, publish, commercially exploit, or create derivative works from our proprietary website content without permission except as permitted by law.

‍17. Third-Party Services

‍Our website may integrate with or link to third-party services, including payment processors, shipping carriers, analytics providers, communication platforms, and manufacturer websites.
We are not responsible for the independent privacy practices, terms, availability, or content of third-party services.

‍18. Email and SMS Communications

‍By providing your email address or telephone number, you agree that we may send transactional communications relating to orders, quotes, customer service, account activity, or other requested services.
Marketing communications will be sent in accordance with applicable law and the consent you provide.
Where you have consented to receive marketing text messages, message frequency may vary and message and data rates may apply.
You may opt out of marketing text messages by replying STOP and may unsubscribe from marketing emails using the unsubscribe mechanism provided in those communications.
Consent to receive marketing communications is not a condition of purchase.

‍19. Manufacturer Warranties

‍Some products may be covered by warranties provided by their manufacturers.
Any manufacturer’s warranty is governed by the manufacturer’s applicable warranty terms.
Unless expressly stated in writing by Centurion Lab Supply, we do not provide an independent manufacturer-equivalent warranty for third-party products.
We may, where appropriate, assist customers in obtaining available manufacturer warranty information.

‍20. Disclaimer of Warranties

‍TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE WEBSITE AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
EXCEPT FOR WARRANTIES EXPRESSLY PROVIDED BY CENTURION LAB SUPPLY IN WRITING OR WARRANTIES THAT CANNOT LAWFULLY BE DISCLAIMED, WE DISCLAIM IMPLIED WARRANTIES TO THE MAXIMUM EXTENT PERMITTED BY LAW, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
NOTHING IN THESE TERMS DISCLAIMS A WARRANTY OR RIGHT THAT CANNOT LEGALLY BE DISCLAIMED.

‍21. Customer Responsibility

‍Customers are responsible for evaluating products for their particular application and for complying with applicable laws, regulations, professional standards, manufacturer instructions, safety requirements, and facility procedures.
Centurion Lab Supply does not provide medical, clinical, pharmaceutical, engineering, regulatory, or legal advice merely by selling a product or providing general product information.
Customers requiring specialized advice should consult an appropriately qualified professional.

‍22. Limitation of Liability

‍TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CENTURION LAB SUPPLY, EVOLUTION COLLABORATIVE LLC, AND THEIR RESPECTIVE OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATING TO THE WEBSITE, SERVICES, OR PRODUCTS, EXCEPT TO THE EXTENT SUCH LIABILITY CANNOT LAWFULLY BE LIMITED OR EXCLUDED.
ANY LIMITATION OF DIRECT DAMAGES, IF APPLICABLE, WILL BE SUBJECT TO APPLICABLE LAW AND ANY NON-WAIVABLE CUSTOMER OR CONSUMER RIGHTS.
Some jurisdictions do not permit certain limitations of liability, so portions of this section may not apply to you.

‍23. Indemnification

‍To the extent permitted by law, you agree to indemnify and hold harmless Centurion Lab Supply and Evolution Collaborative LLC from third-party claims, liabilities, losses, or reasonable expenses arising from your unlawful use of our website or products, your material violation of these terms, or your infringement of another party’s rights.
This provision does not apply to the extent a claim results from conduct for which Centurion Lab Supply is legally responsible and liability cannot lawfully be shifted.

Our Privacy Policy describes how we collect, use, disclose, retain, and protect personal information and explains privacy choices and rights that may be available to you.

‍25. Force Majeure

‍To the extent permitted by law, Centurion Lab Supply will not be responsible for delays or failures caused by circumstances reasonably outside our control, including natural disasters, severe weather, fires, labor disruptions, carrier disruptions, supply shortages, manufacturer delays, transportation interruptions, utility failures, cyber incidents affecting third-party infrastructure, governmental actions, public-health emergencies, or similar events.

26. Governing Law

‍These terms are governed by the laws of the State of California, without regard to conflict-of-law principles, except where applicable federal law or another non-waivable law controls.
Any provision concerning venue, dispute resolution, arbitration, jury-trial waiver, or class-action waiver should be interpreted and enforced only to the extent permitted by applicable law.

‍27. Dispute Resolution

‍Before initiating formal legal proceedings, you and Centurion Lab Supply agree, where reasonably practicable, to attempt in good faith to resolve a dispute by contacting the other party and providing a reasonable opportunity to address the issue.

‍This informal-resolution requirement does not prevent either party from seeking emergency or injunctive relief when appropriate and does not limit any non-waivable rights or remedies available under applicable law.

‍If a provision of these terms is determined to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed where appropriate, while the remaining provisions will remain in effect.

‍29. No Waiver

‍Our failure to enforce a provision of these terms does not constitute a waiver of that provision or our right to enforce it later.

‍30. Changes to These Terms

‍We may update these terms periodically to reflect changes in our products, services, business practices, or legal requirements.
The “Last Updated” date at the top of this page will indicate when the Terms were most recently revised.
Changes will apply prospectively as required by applicable law. Where required, we will provide additional notice or obtain consent before materially revised terms apply.

31. Entire Agreement

‍These terms, together with our Privacy Policy, Return & Refund Policy, Shipping Policy, and any additional terms expressly applicable to a particular order or service, constitute the applicable agreement between you and Centurion Lab Supply regarding your use of our website and services.
